Terms of Service

Overview
This website (the “Site”) and related services are owned and operated by Cadre Crew (“Cadre Crew,” “we,” “us,” or “our”). By accessing or using the Site or any services we provide—including consultations, proposals, virtual assistant (VA) services, BPO services, telemarketing/support, scheduling, and messaging—you agree to these Terms of Service (“Terms”), our Privacy Policy at https://www.cadrecrew.com/privacy-policy, and any additional terms shown at the time of signup or purchase.
If you do not agree, do not use the Site or our services.
Eligibility & Account Responsibilities
You must be at least 18 years old and able to form a binding contract.
Certain features may require creating an account. You agree to provide accurate, current information, keep your credentials secure, and promptly update your details.
You are responsible for all activity under your account. If you suspect unauthorized use, contact us at info@cadrecrew.com immediately.
Services; Proposals; SOWs
Service details, deliverables, timelines, and fees are defined in a signed proposal, order form, or statement of work (each, an “SOW”).
If there is a conflict, the SOW controls for the scoped engagement. These Terms apply to the Site and to each SOW unless expressly overridden in writing.
Payment Terms
Unless otherwise stated in the SOW, fees are due in advance (or on the cadence stated in the invoice). Late amounts may accrue a reasonable late fee or interest as allowed by law.
You authorize us (and our processors) to charge the payment method you provide for all fees and applicable taxes.
All payments are non-refundable unless the SOW or mandatory law states otherwise.
Cancellations, Rescheduling & No-Shows
You may reschedule via the scheduling link (e.g., our GHL calendar or Calendly) up to the rescheduling cutoff shown on the booking page.
If you no-show or cancel outside the allowed window, any prepaid fees may be forfeited as a no-show fee if disclosed in the booking flow or SOW.
Acceptable Use
You agree not to:
- Break the law, infringe IP or privacy rights, or submit malware or spam.
- Scrape, reverse-engineer, or overload our systems.
- Use our services for prohibited content (see §§12 & 15).
We may suspend or terminate access for violations.
Intellectual Property
Our IP. The Site, software, designs, text, images, videos, trademarks, and other content are owned by Cadre Crew or our licensors and protected by IP laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for your internal business purposes.
Your IP & License to Us. If you provide or upload content (e.g., data, brand assets, copy), you represent you have the rights to do so and grant us a worldwide, royalty-free, sublicensable license to use it solely to provide the services and to improve quality assurance, security, and support.
Confidentiality
Each party may receive non-public information from the other. The receiving party will protect such information and use it only to fulfill the engagement, except where disclosure is required by law.
Non-Solicitation (during services + 12 months thereafter)
You agree not to solicit for employment or contract any Cadre Crew personnel introduced to you through the engagement without our prior written consent. If you hire such personnel, a placement fee equal to 25% of the first year’s on-target compensation is due unless otherwise agreed in writing.
Third-Party Tools & Links
We may integrate with third-party tools (e.g., Google/Outlook Calendar, Zoom/Meet, Calendly, GoHighLevel, payment processors, help desks). Each provider’s terms govern its services. Links to third-party sites do not imply endorsement; we are not responsible for their content or policies.
Disclaimers
Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific outcomes, revenue, rankings, or availability.
Limitations of Liability
Indirect Damages. We are not liable for lost profits, lost data, business interruption, or any indirect, incidental, special, consequential, or punitive damages.
Cap. Our total liability for claims arising out of or related to the Site or services is limited to the fees you paid to us for the services giving rise to the claim during the three (3) months before the event.
These limits apply regardless of theory of liability and even if a remedy fails of its essential purpose.
Indemnity
You will defend, indemnify, and hold Cadre Crew and our officers, directors, employees, and agents harmless from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your content; (b) your misuse of the Site/services; or (c) your breach of these Terms or applicable law.
Data; Privacy; Security
Our Privacy Policy at https://www.cadrecrew.com/privacy-policy explains what we collect, how we use it, and your choices. By using our Site/services, you consent to those practices. You also agree to comply with your own privacy obligations when sharing data with us (e.g., lawfully obtained leads, proper consent, and honoring opt-out requests).
If your engagement requires it, a Data Processing Addendum (DPA) can be provided upon request.
SMS Messaging Terms & A2P 10DLC Compliance
You will defend, indemnify, and hold Cadre Crew and our officers, directors, employees, and agents harmless from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your content; (b) your misuse of the Site/services; or (c) your breach of these Terms or applicable law.
Indemnity
Program Name: Cadre Crew Alerts
Short Description: Appointment confirmations, reminders, scheduling updates, and client support. May also include service notices related to an active engagement (e.g., proposal/contract/invoice notifications).
Opt-In Methods. You consent to receive SMS by:
- Checking an explicit SMS consent checkbox on our web forms or scheduling pages;
- Texting an opt-in keyword we provide (e.g., START, JOIN, or confirming a booking);
- Providing written consent via proposal/contract or during a service signup flow.
Consent is not a condition of purchase.
Message Frequency. Varies by interaction (typical 1–6 msgs/month for confirmations/reminders; more during active support threads).
Opt-Out. Text STOP to end. We will confirm your opt-out and cease further SMS (except legally required messages). You may also email info@cadrecrew.com or call (561) 783-8110.
Help. Text HELP for help, or contact info@cadrecrew.com / (561) 783-8110 during business hours.
Fees. Msg & data rates may apply. Check your wireless plan.
Supported Carriers. Major U.S. carriers are supported. Carriers are not liable for delayed or undelivered messages.
Age. You must be 18+ to opt in.
Content Standards (CTIA). No SHAFT content (sexually explicit, hate, alcohol excess/underage, firearms/illegal weapons, or tobacco/vape), no illegal content, no harassment, and no misleading or deceptive messaging. No shared/public link shorteners for calls-to-action; branded links only. No affiliate lead-gen messaging without clear brand disclosure and consent.
Data Handling. We store opt-ins/opt-outs and message logs as required to demonstrate compliance and to honor your preferences. See our Privacy Policy for details.
Revocation & Updates. You may revoke consent at any time as above. If program details materially change, we will update these Terms and/or notify you where required.
Email Communications
By providing your email, you consent to receive transactional emails (e.g., proposals, contracts, invoices, appointment notices). Marketing emails are sent only with appropriate consent and include unsubscribe links.
Export; Sanctions; Anti-Spam
You represent that you are not located in an embargoed country or on a restricted party list. You agree not to upload or use purchased/scraped contact lists and to comply with CAN-SPAM, TCPA, CTIA, and similar laws.
Suspension & Termination
We may suspend or terminate access for any violation of these Terms or for risk to our systems or customers. You may cancel per your SOW or by contacting info@cadrecrew.com. Sections intended to survive (e.g., IP, confidentiality, payments due, limitations, indemnity, governing law) will survive termination.
Changes to the Terms
We may update these Terms from time to time. The latest version will be posted at https://www.cadrecrew.com/terms-of-service with the effective date. Continued use signifies acceptance.
Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflicts rules. Venue for any permitted court action is the state or federal courts located in Miami-Dade County, Florida.
Arbitration. Except for claims seeking injunctive relief or protecting IP/confidentiality, disputes will be resolved by binding arbitration conducted by a reputable provider in Miami-Dade County, Florida, in English, on an individual (non-class) basis. Each party bears its own costs; the arbitrator may award fees where allowed by law.
Electronic Communications & E-Sign
You consent to receive notices electronically and to transact via electronic signatures and records (including proposals, contracts, and approvals).
